(TSXV: TBRD, OTCQX: THBRF) (“Thunderbird” or the “Company”) announces that its special meeting (the “Meeting”) of holders (the “Shareholders”) of common shares of Thunderbird (the “Shares”) to vote on the proposed plan of arrangement (the “Arrangement”) involving Blue Ant Media Corporation (TSX: BAMI) (“Blue Ant”), has been postponed (the “Postponement”) to January 22, 2026 at 9:00 a.m. (Vancouver time) at https://meetings.lumiconnect.com/400-349-386-371. The password for the live audio webcast is “thunderbirdSGM2026”, case-sensitive.The Meeting has been postponed to allow additional time to complete the mailing of the Company’s management information circular dated December 11, 2025 (the “Circular”) and related materials for the Meeting (collectively, the “Meeting Materials”) to registered Shareholders. Due to an administrative oversight by the Company’s transfer agent, the Circular was not mailed to all registered Shareholders on the scheduled mailing date of December 22, 2025. The oversight was identified on December 29, 2025, and the transfer agent immediately commenced remedial work to complete the mailing. The Circular will now be mailed to registered Shareholders tomorrow. The transfer agent has apologized to the Company and wishes to apologize to the impacted Shareholders.Upon becoming aware of the issue, and given the proximity of the originally scheduled Meeting date, the Company determined that postponing the Meeting was necessary to ensure compliance with its legal obligations to provide notice to registered Shareholders. The new Meeting date of January 22, 2026, is the earliest date that the Company can reschedule the Meeting.Notwithstanding the Postponement, the record date for determining Shareholders entitled to vote at the Meeting, being January 12, 2026, shall remain unchanged. The deadline for submitting proxies has been extended to 9:00 a.m. (Vancouver time) on January 20, 2026, and letters of transmittal and election forms (each, a “Letter of Transmittal and Election Form”) must now be received by 4:00 p.m. (Vancouver time) on January 19, 2026. Any proxies and Letters of Transmittal and Election Forms previously submitted remain valid.In addition to obtaining approval of the Arrangement at the Meeting, the completion of the Arrangement will be subject to obtaining the final order (the “Final Order”) of the Supreme Court of British Columbia (the “Court”) for the Arrangement, obtaining applicable regulatory approvals, as well as other customary closing conditions.
