Compass Digital Acquisition Corp. to Merge with Key Mining Corp

Compass Digital Acquisition Corp. has agreed to merge with Key Mining Corp., creating a new holding company, Key Mining Holdings Corp., which will be publicly traded. Key Mining Corp. stockholders will receive shares in the new entity, and all outstanding options and warrants will be assumed. Following the merger, Compass Digital Acquisition Corp. will become a Delaware corporation.
