Banc of California files new Form S-3 shelf, files resale prospectus for selling stockholders

Banc of California has filed a new Form S-3 universal shelf registration statement and a prospectus supplement for resale by certain stockholders. The new registration statement (File No. 333-293930) became effective on March 2, 2026, replacing the previous Form S-3 filed on March 7, 2023. Additionally, a prospectus supplement was filed on March 6, 2026, allowing the resale of voting common stock by certain selling stockholders, in accordance with the November 30, 2023 Registration Rights Agreement.
