REG - SolGold PLC - Scheme of Arrangement

SolGold PLC has announced a recommended cash acquisition by Jiangxi Copper (Hong Kong) Investment Company Limited, to be implemented via a scheme of arrangement under the Companies Act 2006. A Scheme Document detailing the terms, conditions, and timetable for the acquisition has been published. The acquisition requires approval from Scheme Shareholders and SolGold Shareholders at respective meetings scheduled for 23 February 2026. Shareholders are urged to submit proxy votes promptly to ensure fair representation at the meetings.
