Meta Platforms, Inc. (NASDAQ:META) announced plans Monday to raise approximately $35 billion through stock offerings to support its growing artificial intelligence infrastructure investments.

The financing includes $22.5 billion in Class A common stock and $12.5 billion in depositary shares representing mandatory convertible preferred stock.

Meta Plans Additional $60 Billion Stock Sale Program

Meta also plans a $60 billion at-the-market stock offering program, potentially starting in the first quarter of 2027. The program would allow the company to sell Class C common shares over time.

However, the company has not finalized the program’s terms or entered into an agreement.

The company expects to use proceeds from the offerings for general corporate purposes. It will receive funds from the common stock offering when it settles forward sale agreements, rather than immediately.

AI Infrastructure Drives Capital Spending

Meta expects capital expenditures of $135 billion to $145 billion in 2026 as it expands data centers and computing capacity.

To fund these investments, the company plans to combine operating cash flow, debt, partnerships and equity financing.

The company generated $97 billion in operating cash flow during the first nine months of 2026. It also held approximately $82 billion in cash, cash equivalents and marketable securities at the end of September.

Meanwhile, third-quarter revenue rose 26% year over year to $64.6 billion, while net income reached $9.9 billion.

NVIDIA, AMD and Broadcom Signal Investment Interest

NVIDIA Corporation (NASDAQ:NVDA), Advanced Micro Devices, Inc. (NASDAQ:AMD) and Broadcom Inc. (NASDAQ:AVGO) have expressed interest in purchasing up to $5 billion collectively in Meta’s Class A common stock offering.

However, their indications are nonbinding, meaning actual purchases could differ or may not occur.

Meta expects its preferred stock to convert into common shares around Aug. 15, 2029, subject to the applicable terms and conditions.

The financing plan comes as Meta expands its AI products and infrastructure while seeking to diversify its funding sources.
