DINGLICOMM announced that the equity structure of its controlling shareholder, Tequ Mayflower, will change, with the actual controller changing from Wang Huiwu to Wu Chenming and Liu Chunbin. Hanbo Technology will indirectly acquire control by purchasing 100% of the equity of Tequ Mayflower held by Chengdu Pengyang. The transaction price is 502,480,000 yuan. After the equity transfer, Ye Bin will delegate the voting rights he holds to Tequ Mayflower for a period of three years
According to the announcement from DINGLICOMM (300050.SZ), the company recently received a notice from its controlling shareholder, Tequ Mayflower, informing that its upper-level equity structure is expected to change and that the actual controller of the company is also expected to change. Hanbo Technology plans to indirectly acquire the controlling stake in the company by purchasing 100% equity of Tequ Mayflower held by Chengdu Pengyang.
On February 7, 2025, Hanbo Technology, Chengdu Pengyang, Tequ Mayflower, and its concerted actors Ye Bin, the actual controller Wang Huiwu, and the company's general manager Xu Zequan jointly signed the "Equity Transfer Agreement regarding Sichuan Tequ Mayflower Education Management Co., Ltd." Chengdu Pengyang intends to transfer its 100% equity of Tequ Mayflower to Hanbo Technology, with a transaction price of RMB 502,480,000.
On the same day, Tequ Mayflower signed a "Voting Rights Entrustment Agreement" with Ye Bin and Hanbo Technology, stipulating that after the completion of the aforementioned equity delivery, Ye Bin will continue to entrust the voting rights corresponding to the 45,744,700 unrestricted circulating shares (accounting for 8.40% of the company's total share capital) he holds to Tequ Mayflower for exercise, with a term of three years. Ye Bin and Tequ Mayflower will act in concert regarding the exercise of shareholder voting rights during the entrustment period.
After the completion of this equity change, Chengdu Pengyang will no longer hold equity in Tequ Mayflower, the controlling shareholder of Tequ Mayflower will change to Hanbo Technology, while the company's controlling shareholder will still be Tequ Mayflower, and the actual controllers will change from Wang Huiwu to Wu Chengming and Liu Chunbin
