NMXH: Absorption merger between wholly-owned subsidiaries

NMXH announced that its wholly-owned subsidiary, Education Publishing, plans to absorb and merge with two other wholly-owned subsidiaries, Modern Logistics and Education Technology. After the merger is completed, Modern Logistics and Education Technology will cancel their legal entities, and all their assets, claims, debts, personnel, and other rights and obligations will be inherited by Education Publishing. This merger does not constitute a related party transaction and does not constitute a major asset restructuring, having no substantial impact on the company's financial condition and operating results
