NEW SPARKLEROLL: Termination of the Agreement with Concerted Action Persons
NEW SPARKLEROLL announced the termination of the concerted action agreement, effective from May 26, 2025. Shi Qingliu, Cha Jung Hoon, Pro Honor Investment Limited, and Lin Zhijian confirmed that they will no longer act in concert, and the related rights and obligations are immediately invalid, with no unified voting in the future
According to the announcement from NEW SPARKLEROLL (00970) on November 9, 2023, Mr. Shi Qingliu, Mr. Cha Jung Hoon, Pro Honor Investment Limited (Pro Honor), and Mr. Lin Zhijian entered into a concerted action agreement, whereby Mr. Shi, Mr. Cha Jung Hoon, Pro Honor, and Mr. Lin confirmed their agreement to act in concert in controlling and managing the Group.
On May 26, 2025, the company's board of directors was informed that the concerted action parties entered into a termination agreement, which will terminate the concerted action agreement effective from May 26, 2025. Accordingly, the concerted action agreement will be completely terminated, and all rights and obligations of the concerted action parties under the concerted action agreement will immediately cease to be effective and have no further effect or function after the signing of the termination agreement.
After the signing of the termination agreement, the concerted action parties will no longer be obligated (including) to act in concert by voting uniformly at board meetings or shareholders' meetings of any member company of the Group (if applicable), nor will they be regarded as having interests in each other's shareholdings
