<p>According to the announcement from NOIZ GROUP (08163), (i) all the conditions precedent for the acquisition under the asset purchase agreement; and (ii) the subscription under the subscription agreement have been fulfilled, and the acquisition and subscription were completed on June 25, 2025. The company issued and allotted 90 million consideration shares and 30.86 million subscription shares to the seller in accordance with the terms of the asset purchase agreement and the subscription agreement.
