LAJIN ENT: Placement agreement invalidated
LAJIN ENT announced that the placement agreement has become invalid due to the failure to meet the conditions precedent before July 18, 2025. The rights, obligations, and responsibilities of the placement agent and the company under the agreement will cease immediately, and neither party may make any claims, except for rights or obligations that were violated prior to termination
According to the announcement from LAJIN ENT (08172), the company has announced a general authorization to place a maximum of 84.1826 million placement shares. The conditions precedent set forth in the placement agreement have not been fully met or fulfilled by July 18, 2025. Therefore, the placement agreement has not become unconditional and has been rendered invalid. According to the placement agreement, all rights, obligations, and responsibilities of the placement agent and the company under the placement agreement will cease and terminate immediately, and neither the placement agent nor the company may make any claims against the other party, except for any rights or obligations that were violated prior to termination. Both parties have not violated any rights or obligations under the placement agreement
