Yorhe's controlling shareholder will change to Hangzhou Runfeng

According to the Zhitong Finance APP, Yorhe (002795.SZ) announced that its controlling shareholder and actual controller, Cao Deli, signed a "Share Transfer Agreement" (hereinafter referred to as "this agreement" or "transfer agreement"), "Supplementary Agreement," and "Payment Deadline Change Confirmation" with Hangzhou Runfeng Intelligent Equipment Co., Ltd. (hereinafter referred to as "Hangzhou Runfeng") on August 5, 2025. Cao Deli intends to transfer 35,660,300 shares (accounting for 8.00% of the total shares of the company) at a price of 8.9736 yuan per share to Hangzhou Runfeng, with a transfer price of 320 million yuan. On the same day, Hangzhou Runfeng signed a "Voting Rights Entrustment Agreement" with Cao Deli and Xia Zuwang, respectively. Cao Deli promised that after the transfer of all shares involved in the transfer agreement is completed and the full payment for all shares under the transfer agreement is received (the funds in the escrow account must be released), he will irrevocably entrust the voting rights corresponding to the remaining 7,343,708 shares (accounting for 1.65% of the total shares of the company) to Hangzhou Runfeng for exercise, with a trust period of 18 months, which will automatically expire and be terminated upon expiration. During the trust period, both parties will constitute a concerted action relationship. Xia Zuwang promised that after the transfer of all shares involved in the transfer agreement is completed and the full payment for all shares under the transfer agreement is received (the funds in the escrow account must be released), he will irrevocably entrust the voting rights corresponding to the 22,287,704 shares (accounting for 5% of the total shares of the company) he holds to Hangzhou Runfeng for exercise, with a trust period of 18 months, which will automatically expire and be terminated upon expiration. During the trust period, both parties will constitute a concerted action relationship. After the completion of the above share transfer, the controlling shareholder of the company will change from Cao Deli to Hangzhou Runfeng, and the actual controller of the company will change from Cao Deli to Sun Rongxiang. The announcement stated that Hangzhou Runfeng was established on July 22, 2025. As of the date of this announcement, Hangzhou Runfeng has not actually engaged in robot-related businesses such as industrial robot manufacturing, industrial robot sales, and intelligent robot research and development, and it promises not to engage in the aforementioned robot-related businesses in the future, and will complete the change of Hangzhou Runfeng's business scope as soon as possible within 10 working days
