COSCO SHIP HOLD plans to invest 370 million yuan to participate in the establishment of a joint venture company

According to the announcement from COSCO Ship Hold (01919), on September 15, 2025, the company's wholly-owned subsidiary COSCO Shipping (Hong Kong) entered into a joint venture agreement with Guangzhou COSCO Shipping Logistics, Shenzhen Port Logistics Group, and China Communications Construction Company Fourth Navigation Bureau. The parties agreed to jointly establish a joint venture company, with COSCO Shipping (Hong Kong) contributing RMB 370 million (approximately HKD 405 million), while Guangzhou COSCO Shipping Logistics, Shenzhen Port Logistics Group, and China Communications Construction Company Fourth Navigation Bureau will contribute RMB 300 million (approximately HKD 328 million), RMB 230 million (approximately HKD 252 million), and RMB 100 million (approximately HKD 109 million), respectively, all of which will be included in the registered capital of the joint venture company. Upon the establishment of the joint venture company, the registered capital will be RMB 1 billion (approximately HKD 1.095 billion), with COSCO Shipping (Hong Kong), Guangzhou COSCO Shipping Logistics, Shenzhen Port Logistics Group, and China Communications Construction Company Fourth Navigation Bureau holding 37%, 30%, 23%, and 10% equity in the joint venture company, respectively. The joint venture company will become an indirect non-wholly-owned subsidiary of the company, and its financial statements will be consolidated into the group's financial statements. With the rapid development of the global digital economy and the emergence of new business formats and models such as cross-border e-commerce trade, global trade has become more diversified, thus raising higher demands for the stability and reliability of global supply chains. The group is positioned as a "global digital supply chain investment and operation platform centered on container shipping," and is actively building an integrated supply chain operation system of "container shipping + ports + related logistics" based on customer needs, improving the "investment + construction + operation" integrated development model to provide high-quality digital supply chain solutions for global customers. The board of directors believes that this project, as a hub for the collection and distribution of goods around Yantian Port, will provide integrated full-process value-added services by constructing high-standard warehouses and creating a multifunctional comprehensive logistics park (including cold storage, consolidation, customs supervision, and warehousing and distribution). This project will help the group consolidate its strategic layout in the Pearl River Delta region and become a core infrastructure for expanding the scale of digital supply chain business. The project will provide key support for the deep integration of regional service industries and advanced manufacturing, ensuring the stability and resilience of customers' industrial chain supply chains, connecting domestic and international trade dual circulation, and creating higher corporate brand value
