EPI (HOLDINGS) announced that its major shareholder Billion Expo International Limited has sold 86,208,600 shares (approximately 13.92% of the issued shares) to VCYBER Holdings Limited. After the transfer, Billion Expo is no longer the major shareholder, and VCYBER Holdings Limited becomes the new major shareholder
According to the Zhitong Finance APP, EPI (HOLDINGS) (00689) announced that on September 19, 2025 (after trading hours), the company's major shareholder Billion Expo International Limited (the seller) informed that it has sold a total of 86,208,600 shares of the company to VCYBER Holdings Limited (the buyer, a company incorporated in the British Virgin Islands), accounting for approximately 13.92% of the issued shares as of the date of this announcement (the transfer).
The buyer is an investment holding company wholly owned by Shen Jiaxin. As of the date of this announcement, Shen Jiaxin is one of the directors of EPI Intelligent Mobility Investment Limited (a company incorporated in Hong Kong and an indirect non-wholly owned subsidiary of the company).
Immediately following the completion of the transfer, (a) the seller no longer holds any interest in the shares and is no longer a major shareholder of the company (as defined in the listing rules); and (b) the buyer has acquired interest in 86,208,600 shares (accounting for approximately 13.92% of the issued shares as of the date of this announcement) and has become a major shareholder of the company (as defined in the listing rules)
