SLAC's subsidiary forms a joint venture with a Korean company to expand its domestic battery shell business

Recently, SLAC's wholly-owned subsidiary Suzhou Xianlai signed a "Cooperation Agreement" and a "Supplementary Cooperation Agreement" with South Korea's Dongwon Systems, intending to establish a joint venture company with a registered capital of USD 10 million to engage in battery shell business in China. Dongwon Systems will initially invest USD 750,000, with subsequent investment progress to be agreed upon in another agreement, and will provide technical support to the joint venture company. SLAC will provide an irrevocable and unconditional guarantee for Suzhou Xianlai's related obligations. This investment is beneficial for the company to expand its market in new energy structural components and improve its business layout, but the project is subject to various factors and carries uncertainties. As of the announcement date, the company's guaranteed amount in the consolidated financial statements for the fiscal year 2025 is CNY 1.92 billion, with the actual guaranteed amount being CNY 994.6365 million, and there are no off-balance-sheet guarantees or overdue guarantees
