JIHONG CO: Chairman Wang Yapeng acquires 30% equity in Xi'an Danjun
JIHONG CO announced that Chairman Wang Yapeng will acquire 30% of Xi'an Danjun's equity. Xiamen Jikeyin E-commerce Co., Ltd. will transfer its 5% equity in Xi'an Danjun to Wang Yapeng for 1.8335 million yuan, and additionally, other shareholders will transfer 25% equity to him for 9.1674 million yuan. After the transfer, Xiamen Jikeyin will hold 55% equity in Xi'an Danjun, Wang Yapeng will hold 30%, and other shareholders will hold 15%. Xi'an Danjun remains a controlling subsidiary of the company
According to the announcement from JIHONG CO (02603), its wholly-owned subsidiary Xiamen Jikeyin E-commerce Co., Ltd. (hereinafter referred to as "Xiamen Jikeyin") holds 60% of the equity in Xi'an Danjun Digital Technology Co., Ltd. (hereinafter referred to as "Xi'an Danjun"). To further establish and improve the long-term incentive mechanism of the subsidiary, optimize the equity structure of the subsidiary, and promote the substantial development of its business operations, Xiamen Jikeyin intends to transfer 5% of its equity in Xi'an Danjun to the current chairman of the company, Mr. Wang Yapeng, for a price of RMB 1.8335 million. Meanwhile, other individual shareholders of Xi'an Danjun, including Fan Shuai, intend to transfer 25% of their equity in Xi'an Danjun to Mr. Wang Yapeng for a price of RMB 9.1674 million. According to the relevant provisions of the Company Law, the company has a right of first refusal for the aforementioned equity transfer. Based on the operating conditions and future development plans of Xi'an Danjun, the company intends to waive the right of first refusal.
After the completion of this equity transfer, Xiamen Jikeyin will hold 55% of the equity in Xi'an Danjun, Chairman Mr. Wang Yapeng will hold 30% of the equity in Xi'an Danjun, and other individual shareholders will hold 15% of the equity in Xi'an Danjun. Xi'an Danjun will still be a controlling subsidiary within the scope of the company's consolidated financial statements
