HANDLER: Signed the Termination of Equity Acquisition Cooperation Agreement

HANDLER announced that the company, Changsha Zhenghao, and Hunan Huaxun signed a termination cooperation "Agreement" on October 29, 2025. Due to the parties' failure to reach a consensus on key terms of the acquisition, it was mutually agreed to terminate the signed "Equity Acquisition Cooperation Agreement." This termination of cooperation will not affect the company's normal operations and will not impact the company's future development plans
