OSHIDORI and PLANETREE INT'L exchanged shares involving a capital of 376 million yuan

OSHIDORI Holdings (00622.HK) announced that it has entered into a share swap agreement with PLANETREE INT'L (00613.HK), under which the company will subscribe for 189 million shares of PLANETREE INT'L at a price of HKD 1.986 per share, for a total consideration of approximately HKD 375.6 million; and issue 760 million shares to PLANETREE INT'L at a price of HKD 0.494 per share, for a total consideration of approximately HKD 375.6 million. Upon completion, the company's shareholding in PLANETREE INT'L will increase from the current 1.33% to 17.56%, while PLANETREE INT'L's shareholding in the company will increase from 5.16% to 15.54%
