According to the Zhitong Finance APP, SG GROUP HLDGS (01657) and the offeror Hong Kong Wei Ye Software Co., Ltd. jointly announced that all conditions precedent under the share purchase agreement have been met, and the completion has been implemented on June 23, 2026. According to the share purchase agreement, the offeror will acquire a total of 23.97 million shares at a total price of HKD 199 million. Immediately before completion, the offeror, its ultimate beneficial owners, its directors, and the offeror's concert parties (excluding the sellers) will hold no shares; and the sellers will have interests in the 23.97 million shares (i.e., the sale shares). After completion, the offeror and the offeror's concert parties will collectively own 23.97 million shares, accounting for 74.91% of the total issued shares of the company as of the date of this joint announcement.

Therefore, according to Rule 26.1 of the Takeover Code, the offeror must make a mandatory unconditional cash offer for all issued shares (excluding those already owned by the offeror and the offeror's concert parties and/or those agreed to be acquired)
