According to the announcement from WAN KEI GROUP (01718), all conditions of the placement agreement have been met, and the placement has been completed on February 27, 2026. In accordance with the terms and conditions of the placement agreement, the company has issued a total of 50.68 million placement shares at a placement price of HKD 0.25 per share to no fewer than six subscribers, representing (i) approximately 20.00% of the company's existing issued share capital of 253 million shares immediately prior to completion; and (ii) approximately 16.66% of the enlarged issued share capital of the company immediately following the completion of the placement.

The net proceeds from the placement are approximately HKD 12.5 million. The board intends to use the entire net proceeds from the placement for general working capital purposes, of which: (i) approximately HKD 9.4 million will be used for director's fees, salaries, and employee wages; (ii) approximately HKD 1.6 million will be used for rental expenses; and (iii) approximately HKD 1.5 million will be used for legal and professional fees
