SEC announced that on July 25, 2024, the company's controlling shareholder Ningbo JunTuo Enterprise Management Co., Ltd. signed a "Share Transfer Agreement" with Beijing Gaodi Resources Development Co., Ltd. On the same day, the company's shareholders Wang Jianyu and Wang Jiankai signed a "Share Transfer Agreement," "Waiver of Voting Rights Agreement," and "Stock Pledge Agreement" with Gaodi Resources. In addition, on the same day, Ningbo JunTuo signed a "Supplementary Agreement to the Share Transfer Agreement of SEC" with Wang Jianyu, Wang Jiankai, and Wang Panrong. According to the "Share Transfer Agreement" signed by the relevant parties, Gaodi Resources acquired 44,264,640 shares from Ningbo JunTuo, 12,642,000 shares from Wang Jianyu, and 13,653,360 shares from Wang Jiankai, totaling 70,560,000 shares. According to the "Waiver of Voting Rights Agreement," Wang Jianyu and Wang Jiankai voluntarily agreed to waive all voting rights represented by 53,159,536 shares of their remaining shares. On December 29, 2024, the company received notifications from Ningbo JunTuo, Wang Jianyu, Wang Jiankai, and Gaodi Resources, and after querying the PROP system of China Securities Depository and Clearing Corporation Limited Shanghai Branch, it was confirmed that the transfer registration procedures for this equity change had been completed, with the transfer date being December 27, 2024, and the transfer quantity being 70,560,000 shares, with the nature of the shares being unrestricted tradable shares. The share transfer agreement has been completed, and the company's controlling shareholder has changed to Gaodi Resources, with the actual controller changing to Guo Wenjun
