SUNSHINE: Plans to acquire 56.0299% equity of Yilian Wuxian for 352 million yuan

SUNSHINE announced that the company intends to acquire a total of 56.0299% equity in Shenzhen Yilian Wuxian Technology Co., Ltd. held by Chen Zhenghe and Shenzhen Boyuan Zhilian Management Consulting Partnership through cash payment, with a transaction price of 352 million yuan. Upon completion of the transaction, the company will hold 56.0299% of Yilian Wuxian's shares, gaining control over the target company, which will be included in the company's consolidated financial statements. This transaction has been approved by the 19th meeting of the 6th Board of Directors and the 15th meeting of the 6th Supervisory Board of the company, and is subject to approval by the company's shareholders' meeting. The transaction does not constitute a related party transaction, nor does it constitute a major asset reorganization as defined by the "Administrative Measures for Major Asset Restructuring of Listed Companies."
