According to the announcement from Tian Cai Holdings (03882), the group has launched a new business segment related to the smart full-chain data instant delivery system service for its chain supermarkets and hypermarkets (supermarkets). As disclosed in the announcement, the instant delivery system service provided by the group to supermarkets includes multiple business collaborations with various suppliers and customers. Supermarkets The group is in the final stages of negotiations with several top-tier internet-based online supermarkets and large physical chain supermarkets (delivery platforms) that have online platforms. These supermarkets will utilize the instant delivery system service provided by the group to allocate part of their instant retail delivery business in certain regions of China. Accordingly, the group will provide a one-stop comprehensive instant delivery system service for supermarkets and riders, which includes dedicated electric delivery vehicles, new energy batteries, new energy charging equipment, and corresponding smart management software. Smart Management Software The group has signed a licensing agreement for smart management software with an independent software development company, covering all regions in China. The instant delivery system service will be provided by the group through an online platform established by the independent software development company based on the smart management software, connecting the group with the riders. Therefore, riders will rent electric delivery vehicles and related accessories on the online platform and will use the platform to enhance their order fulfillment efficiency, such as optimizing delivery routes. Utilizing insights from data collected by the smart management software on the online platform, the group can assist delivery platforms in understanding local community needs and optimizing the delivery capacity of riders in that area, thereby maximizing riders' income. As individual contractors, riders will receive service fees directly from the delivery platform for completing each instant retail delivery order, while also paying monthly rent and charging fees on the online platform for renting electric delivery vehicles and related accessories. The smart management software on the online platform is a fleet management system based on a SaaS platform, which includes but is not limited to the following functions: (1) AI scheduling for electric delivery vehicles, (2) tracking of electric delivery vehicle routes, (3) new energy battery consumption management, (4) full lifecycle management of new energy batteries, (5) rider behavior analysis, (6) electronic anti-theft fencing, (7) automated settlement of rental and charging fees for electric delivery vehicles. According to the smart management software licensing agreement, the group charges each rider monthly rent and charging fees for electric delivery vehicles and related accessories on the online platform, while the software development company charges a service fee. Logistics Hardware The group has signed a procurement contract with a supplier, with a total procurement amount of RMB 20 million, involving 3,200 sets of electric delivery vehicles and related accessories (including new energy batteries and new energy charging equipment) that meet the functional, quality, and safety specifications set by the group for rider rental. Financing Arrangements The group is in in-depth discussions with several financing leasing companies and is waiting for the electric delivery vehicles to be registered with the relevant government departments and belong to the group before providing financial leasing arrangements for the aforementioned logistics hardware The board of directors believes that providing instant delivery system services for supermarkets is still a blue ocean market, especially with the rapid expansion of the domestic fresh e-commerce market, and is confident that this new business segment has enormous commercial potential.
