ZSD's controlling shareholder increases shareholding, equity change reaches multiples of 5%

On September 18, 2025, ZSD received a "Simplified Equity Change Report of ZSD Group Co., Ltd." issued by its controlling shareholder, Zhejiang Transportation Group. From April 9 to September 17, 2025, Zhejiang Transportation Group cumulatively increased its holdings by 8,316,599 shares through centralized bidding, accounting for 1.17% of the total share capital, with funding sourced from self-owned funds and special loans for increasing holdings. After this equity change, its shareholding reached 319,940,013 shares, accounting for 45.08%, hitting a multiple of 5%. This increase plan is not yet completed, and Zhejiang Transportation Group will continue to implement it. This equity change complies with regulations and does not trigger a tender offer, with the controlling shareholder and actual controller remaining unchanged.
