
DENOX ENV's subsidiary signs an exclusive licensing agreement with related parties
DENOX ENV (01452.HK) announced that its indirectly wholly-owned subsidiary Beijing DENOX has entered into an exclusive licensing agreement with Hainan Botuo, under which Hainan Botuo will grant the Group exclusive rights and priority during the exclusivity period, and Beijing DENOX will pay a licensing fee as consideration.
In addition, Beijing DENOX has entered into a technical support framework agreement with Hainan Botuo, under which Hainan Botuo agrees to provide technical support services to the Group for the production of HB DeCO catalysts from the effective date until December 31, 2028, and the Group will pay service fees and performance fees as consideration.
Hainan Botuo is wholly owned by Chen Qizhao, who is the son of Zhao Shu, the chairman of the board, executive director, group CEO, and controlling shareholder. According to Listing Rule 14A.07, Chen Qizhao is a contact person for Zhao Shu, and Hainan Botuo is also a contact person for a connected person of the company. Therefore, the entering into the exclusive licensing agreement constitutes a connected transaction under Chapter 14A of the Listing Rules
