
Nemetschek to Buy HCSS in Biggest Deal Ever, Expanding North America Heavy Civil Software Reach

Nemetschek has signed a definitive agreement to acquire Heavy Construction Systems Specialists (HCSS), marking its largest acquisition to date. The deal, expected to close in the second half of 2026, aims to enhance Nemetschek's presence in the North American infrastructure software market. CEO Yves Padrines highlighted the strategic importance of this acquisition, projecting a 30% increase in addressable market opportunities. HCSS, with a strong financial profile, generated $215 million in recurring revenue in 2025. The transaction will involve Thoma Bravo becoming a minority shareholder in the Build & Construct segment, preserving balance sheet flexibility for future investments.
