AI chip manufacturer Cerebras Systems has filed for an IPO again several months after withdrawing its previous application, marking the formal resumption of its U.S. listing process as a challenger to NVIDIA.
Cerebras' core competitive strategy is to challenge NVIDIA with ultra-large chips (processing massive amounts of data in a single unit). Andrew Feldman, Cerebras' CEO, stated that Cerebras' chips run AI models significantly faster than NVIDIA's.
According to documents filed with the U.S. Securities and Exchange Commission on Friday, Cerebras achieved a net profit of $87.9 million and revenue of $510 million in fiscal year 2025, a significant improvement compared to a net loss of $485 million and revenue of $290 million in the previous year. This marked improvement in profitability is expected to enhance its appeal to public market investors.
According to Bloomberg citing sources familiar with the matter, Cerebras secretly filed for an IPO as early as March this year, with the planned fundraising scale estimated at around $2 billion. The company plans to list on the Nasdaq Global Select Market, with underwriters including Morgan Stanley, Citigroup, Barclays, and UBS Group.
OpenAI has already provided the company with a $1 billion working capital loan/revolving credit facility. Additionally, according to a Thursday report by The Information, OpenAI has agreed to pay over $20 billion to Cerebras over the next three years and will acquire a portion of its shares.
<h2>Challenging NVIDIA with Ultra-Large Chips; Valuation Triples in a Year</h2>
Cerebras is an AI chip manufacturer and data center operator headquartered in Sunnyvale, California, whose core competitive strategy is to challenge market leader NVIDIA with ultra-large chips.
CEO Andrew Feldman has publicly stated that Cerebras' hardware runs AI models significantly faster than NVIDIA products. Beyond chip design, Cerebras also operates its own data centers, positioning itself simultaneously in both hardware and computing power services.
This sector (processing massive amounts of data in a single large chip) is attracting increasing numbers of participants attempting to shake up NVIDIA's dominant position in the AI chip market.
Regarding valuation, Cerebras completed approximately $1 billion in financing in February this year, bringing its post-money valuation to $23 billion, led by Tiger Global Management with participation from Benchmark, Fidelity Management &amp; Research Company, and Advanced Micro Devices (AMD).
This valuation represents a sharp increase from $8.1 billion in September of last year, nearly doubling in just a few months, reflecting strong institutional interest in alternative AI chip solutions.
