SMOC: Haiwang Hezong acquired 8.6797 million shares of the company

SMOC announced that its shareholders holding more than 5% of the shares, Hai Run Rong Feng, Kang Jun Ning Yuan, and Zhang Jiang Collective, have signed a "Share Transfer Agreement" with Hai Wang He Zong to transfer a total of 8.6797 million shares of the company at a price of 27.37 yuan per share. The transfer under this agreement will obtain the "Securities Transfer Registration Confirmation" issued by China Securities Depository and Clearing Corporation Limited on August 12, 2025, with the transfer date being August 11, 2025. After the transfer is completed, Hai Wang He Zong and its concerted action party, Pudong New Industry, will hold a total of 14.0228 million shares of the company, accounting for 17.99% of the company's total share capital. Hai Wang He Zong commits not to actively reduce its holdings of SMOC shares obtained through this transaction in any way within 12 months from the date of completion of the transfer registration of the subject shares
