(together with certain of its affiliates, “Saba” or “we”), the largest shareholder of Schroder UK Mid Cap Fund plc ( SHRDF ) (“SCP” or the “Company”), today announced a significant liquidity win for SCP shareholders secured through constructive engagement with the Company’s Board. Under the terms of the agreement and subject to shareholder approval, the Company will conduct a tender offer for up to 100% of the ordinary shares of SCP. Shareholders will have no additional reductions applied to their payout beyond the tender costs, which will be covered via the tender pool on a pro rata basis. The tender offer will be available to all shareholders on the register as at 6:00 p.m. BST on 21 May 2026. In accordance with the terms of the standstill agreement, which is in effect for three years, Saba has committed to vote in favour of the requisite resolution and to tender all of the shares it owns. The tender offer will only proceed if not more than 49.87% shares are tendered (which would ensure that the Company had net assets of more than £125 million of net assets after completion of the tender offer, based on the last NAV).
