Whereas, you (or “Client") have opened an integrated securities account ("Securities Account") with Long Bridge HK Limited ("Longbridge Securities HK"), and to offer you a better service experience, Longbridge Securities HK hereby provides you with the "Automatic Currency Exchange and Repayment Service" (this "Service"). If you click confirm button of this Client Authorization and Acknowledgement Letter re Automatic Currency Exchange and Repayment Service (this "Acknowledgement Letter"), it is deemed that you have agreed to accept this Service, and are willing to be bound by the following terms:

1. Service Content and Condition : upon Client’s acceptance of this Service, when Longbridge Securities HK determines that Client's then Securities Account meets certain triggering conditions for this Service ("Conditions of Service"), Longbridge Securities HK will automatically convert the cash withdrawable in Client's then Securities Account to the equivalent amount of funds denominated in the currency of your payment in arrears at the exchange rate determined by Longbridge Securities HK in its sole discretion, and such funds after conversion will be used as Client’s corresponding repayment to Longbridge Securities HK. Client may refer to your daily statement for more details of this Service. The Conditions of Service triggering this Service, in particular, include that: (1) the amount of cash withdrawable in Client’s Security Account denominated in other currency rather than that of your payment in arrears is equal to or more than HK $100 or its equivalent; (2) the amount of your payment in arrears owed to Longbridge Securities HK is equal to or more than HK $100 or its equivalent; and (3) any other conditions as stipulated and updated by Longbridge Securities HK from time to time. 

2. Automatic Redemption Service of the Cash Plus:

2.1 If Client also holds the Cash Plus (a fund product provided by Longbridge Securities HK ) during the Services period, the Client hereby authorizes Longbridge Securities HK to initiate an automatic redemption request for Client in the event that the assessment finds the Triggering Conditions of the Cash Plus (as defined below) have been met, and to deposit the proceeds in an amount reasonably assessed by Longbridge Securities HK from the redemption of The Cash Plus into the Client’s Securities Account (“Automatic Redemption” or “Automatic Redemption Service”). The assessment of Triggering Condition of the Cash Plus and the amount of Automatic Redemption will be determined by Longbridge Securities HK in its sole discretion, and the amount of Automatic Redemption shall be less than or equal to the amount you owed to Longbridge Securities HK or its equivalent in Client’s Securities Account. Client may refer to its daily statement for more details of the amount of Automatic Redemption. For the avoidance of doubt, the foregoing Triggering Conditions of the Cash Plus refer to the following conditions: (1) the value of Client’s Cash Plus is equal to or more than HK $100 or its equivalent; (2) no withdrawable cash in Client’s Securities Account and the amount of Client’s payment in arrears owed to Longbridge Securities HK is equal to or more than HK $100 or its equivalent; and (3) any other conditions as stipulated and updated by Longbridge Securities HK from time to time. 

2.2 Client acknowledges and agrees that the foregoing proceeds of Automatic Redemption deposited to Client’s Securities Account are withdrawable, and Longbridge Securities HK will provide the Services pursuant to this Acknowledgement Letter once Client meets the Conditions of Service as set out in Clause 1.

2.3 Client acknowledges and agrees that once this Service has been activated, Longbridge Securities HK is not required to send a notification message prior to automatic currency exchange repayment.

3. Currency Exchange Rate: for the purpose of providing this Service and Automatic Redemption Service, Longbridge Securities HK shall have the right to determine the specific currency exchange rate in its sole and absolute discretion.

4. Risk Disclosure: Client hereby acknowledges and agrees that using this Service and Automatic Redemption Service, Client is deemed to accept any profit or loss arising out of fluctuation in the exchange rate of the relevant currency. Longbridge Securities HK makes no guarantee with respect to any profit arising from the Client’s use of this Service and Automatic Redemption Service and shall not be liable for any loss incurred by the Client in respect of the same. Client shall be solely responsible for any risk and loss possibly arising from the use of this Service, including, but not limited to currency exchange cost and any loss arising from foreign currency conversion restriction and fluctuation of exchange rate.

5. Termination of Service: if you intend to terminate this Service and/or Automatic Redemption Service, you may follow instructions on certain webpage displayed in the relevant App as designated by Longbridge Securities HK or reach out to customer service contact of Longbridge Securities HK for assistance. You understand that if you terminate this Service, the Automatic Redemption Service as set out in the Clause 2 will also be terminated at the same time.

6. Change of Terms: Longbridge Securities HK may from time to time, in its sole discretion and without notice to the Client: (a) amend, delete, or supersede any terms in this Acknowledgement Letter; and/or (b) suspend or terminate the Client's use of this Service, without liability for any losses, damages, costs, charges or expenses that the Client may suffer by reason of any of the above actions.

7. Supplemental Agreement: this Acknowledgement Letter shall serve as a supplemental agreement to the Client Agreement previously entered into between Client and Longbridge Securities HK. In the event of any discrepancy between this Acknowledgement Letter and the Client Agreement, the provisions of this Acknowledgement Letter shall prevail; while in the event of any matter not set forth in this Acknowledgement Letter, you shall comply with the terms and conditions set forth in the Client Agreement.
